These Terms of Use (the “Terms”) govern your access to and use of SiricaTx.com, siricacenter.com, siricatherapeutics.com and any webpages, forms, content, or online features that link to these Terms (collectively, the “Site”). The Site is operated by Sirica Therapeutics Inc., doing business as Sirica Center  (“Sirica,” “we,” “us,” or “our”).

By using the Site, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site. If you use the Site on behalf of a minor or another person, you represent that you are authorized to act for that person.

1. About Sirica and the Site

Sirica provides information about its therapy-center services, immersive movement and neurotraining experiences, events, and opportunities to contact the center or request an introductory experience. The Site is intended for informational, scheduling, and administrative purposes.

2. No medical advice; no provider-patient relationship

Site content is general information only. It is not medical advice, diagnosis, treatment, emergency guidance, or a substitute for consultation with a qualified healthcare professional. Viewing the Site, submitting a form, joining a waitlist, or exchanging general communications does not by itself create a provider-patient relationship. A provider-patient relationship arises only if and when Sirica accepts an individual for services under its applicable intake, consent, and service documentation.

Do not use the Site for medical emergencies. Call 911 or seek appropriate emergency assistance. Do not delay or disregard professional medical advice because of Site content.

3. Eligibility and minors

You must be at least 18 years old to submit information for yourself. A parent or legal guardian may submit information for a minor and must provide accurate information and any legally required consents. The Site is directed to adults and is not intended for children to use independently. Sirica does not knowingly request that children under 13 submit personal information directly through the Site.

4. Information you provide

You agree that information you submit is accurate, current, and complete and that you have authority to provide it. Do not submit information about another person unless you are authorized to do so. Please use designated secure channels for sensitive health information; ordinary email and SMS may not be secure.

5. Appointments and communications

An online request does not guarantee an appointment, eligibility, availability, or admission to a program. Sirica may contact you to respond to your request. If you separately consent to SMS appointment reminders, those messages are governed by the SMS Appointment Reminder Consent disclosed at enrollment. You may opt out of texts at any time as described there.

6. Payments, cancellations, and refunds

If the Site enables payment, prices, fees, billing intervals, cancellation deadlines, refund rules, and other purchase terms will be disclosed at or before purchase and are incorporated into these Terms. You authorize Sirica and its payment processor to charge the payment method you provide for amounts you approve. 7. Acceptable use

• submit false, misleading, fraudulent, or unauthorized information;

• attempt to gain unauthorized access to the Site, accounts, systems, or data;

• introduce malware, interfere with Site operation, or bypass security measures;

• scrape, harvest, or use automated means to access the Site except as permitted by law and our written authorization; or

• copy, modify, distribute, sell, or exploit Site content except as these Terms or applicable law permit.

8. Intellectual property

The Site and its text, graphics, logos, photographs, videos, software, design, and other content are owned by Sirica or its licensors and are protected by intellectual-property laws. Subject to these Terms, Sirica grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Site for personal, noncommercial purposes. No other rights are granted.

9. Feedback

If you voluntarily provide ideas or feedback about the Site or services, you grant Sirica a nonexclusive, worldwide, royalty-free right to use that feedback without restriction or compensation, provided we handle personal information as described in the Privacy Policy.

10. Third-party services and links

The Site may link to or use third-party services, such as scheduling, form, payment, analytics, social-media, or mapping services. Third parties operate under their own terms and privacy practices. Sirica is not responsible for third-party sites or services, except to the extent required by law.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” SIRICA DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Sirica DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT CONTENT WILL BE COMPLETE OR CURRENT. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIRICA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM OR RELATING TO THE SITE. Sirica’S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SITE WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID SIRICA THROUGH THE SITE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limits do not apply where prohibited by law or to liability that cannot lawfully be limited.

13. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Sirica and its affiliates, officers, directors, employees, and agents from third-party claims, damages, and reasonable costs arising from your unlawful misuse of the Site, your material breach of these Terms, or information you submit without authorization. This section does not require indemnification for Sirica’s own negligence or unlawful conduct.

14. Suspension and termination

Sirica may suspend or terminate access to the Site when reasonably necessary to protect users, the Site, or Sirica; to investigate suspected misconduct; or to comply with law. Provisions that by their nature should survive will survive termination.

15. Governing law and venue

These Terms are governed by California law, without regard to conflict-of-law principles. Any dispute not subject to a separate enforceable agreement must be brought in the state or federal courts located in San Mateo County, California, and the parties consent to those courts’ jurisdiction. Nothing here limits rights under applicable consumer-protection law.

16. Changes

We may update these Terms. We will post the revised Terms and update the “Last updated” date. Material changes apply prospectively unless law permits otherwise. Continued use after the effective date of revised Terms constitutes acceptance where permitted by law.
